3. Client Responsibilities

• Make payments according to agreed schedules

4. Intellectual Property

4.1 Client Materials

You retain ownership of all content, materials, and data you provide to us.

4.2 Deliverables

Upon full payment, you receive ownership of custom-developed deliverables. We retain rights to:

• Reusable UI components

4.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless explicitly agreed otherwise in writing.

5. Payment Terms

• 50% advance payment required before project commencement
• Remaining 50% due upon project completion
• Custom payment schedules for large projects
• Late payments subject to 2% monthly interest
• All prices in INR unless specified otherwise

6. Project Timeline

Timelines are estimates based on normal circumstances. Delays may occur due to:

• Client-side delays in providing materials or feedback
• Changes to project scope
• Technical complexities discovered during development
• Third-party service dependencies

7. Revisions and Changes

• Minor revisions included as per project agreement
• Scope changes require written change request
• Additional charges may apply for out-of-scope work
• Changes may affect timeline and cost

8. Warranties and Disclaimers

We provide:

• 30-day bug-fix warranty for technical issues
• Code quality assurance and best practices
• Security measures as per industry standards

We do not guarantee:

• Specific search engine rankings
• Business results or revenue increases
• Third-party service availability

9. Limitation of Liability

Our liability is limited to the amount paid for services. We are not liable for:

• Indirect or consequential damages
• Loss of profits or data
• Third-party claims
• Force majeure events

10. Confidentiality

Both parties agree to maintain confidentiality of:

• Proprietary business information
• Technical specifications and code

11. Termination

Either party may terminate with 30 days written notice. Upon termination:

• Client pays for work completed to date
• We deliver all completed work
• Advance payments are non-refundable for completed work

12. Account Security

For Client Portal users:

• You are responsible for maintaining account security
• Use strong, unique passwords
• Report unauthorized access immediately
• Do not share login credentials

13. Governing Law

These terms are governed by the laws of India. Disputes shall be resolved in the courts of [Your City], India.
